Parties and purpose
This Non-Disclosure Agreement ("NDA") is between DRC Forum USA, LLC and the investor, fund, company or individual accepting it (the "Investor"). Its purpose is to protect confidential information shared so the Investor can evaluate projects and opportunities presented through DRC Forum USA (the "Purpose").
Confidential information
Confidential information means any non-public information shared by DRC Forum USA or by project owners through DRC Forum USA, including business plans, financial data, project files, contact details of project owners and talents, and the fact that discussions are taking place.
It does not include information that is already public, was lawfully known to the Investor beforehand, or is independently developed without use of the confidential information.
Obligations of the Investor
Use confidential information only for the Purpose; keep it secure with at least reasonable care; and share it only with employees or advisers who need to know it and are bound by equal confidentiality duties.
Do not copy, publish or pass confidential information to third parties without written consent from DRC Forum USA.
Non-circumvention
For 24 months after an introduction, the Investor will not bypass DRC Forum USA to contact, negotiate or contract directly with a project owner, talent or partner introduced through the forum, without the written consent of DRC Forum USA.
Obligations of DRC Forum USA
DRC Forum USA keeps the Investor's profile, investment criteria and financial information confidential and shares them only with project owners as needed for introductions the Investor has agreed to.
Term and return of information
This NDA takes effect on acceptance and lasts for 3 years. On request, or when the evaluation ends, the Investor will return or destroy the confidential information it holds.
No obligation
This NDA does not oblige either party to invest, enter into any transaction or continue discussions. All information is provided "as is".
Remedies and governing law
A breach may cause irreparable harm; DRC Forum USA may seek injunctive relief in addition to other remedies. This NDA is governed by the laws of the United States and the state in which DRC Forum USA, LLC is registered.
Acceptance
Ticking the acceptance box during registration or in the investor dashboard counts as electronic signature. DRC Forum USA records the date and version accepted.
